1. General Provisions

1.1. These online store terms and conditions (hereinafter – the Terms) constitute a legally binding document for the Buyer and the Seller (hereinafter – the Seller), establishing the rights and obligations of the Parties.

1.2. The Seller reserves the right to amend, correct, or supplement these Terms at any time. The Buyer is notified of any changes to the Terms on the online store website.

2. Conclusion of the Purchase-Sale Agreement

2.1. The purchase-sale agreement between the Buyer and the Seller is deemed concluded when the Buyer places and submits an order for goods in the online store, having first read these Terms.

3. Seller's Rights

3.1. In the event of important circumstances, the Seller may temporarily or completely suspend the operation of the online store without prior notice to the Buyer.

3.2. If the Buyer attempts to harm the operation, stability, or security of the online store, or breaches their obligations, the Seller has the right to restrict or suspend the Buyer's access to the online store without warning.

4. Seller's Obligations

4.1. The Seller undertakes to provide access to the online store services, the conditions of which are set out in these Terms.

4.2. The Seller undertakes to deliver the goods purchased by the Buyer using the delivery method chosen by the Buyer, in accordance with the conditions set out in these purchase-sale Terms.

4.3. If due to unforeseen circumstances the Seller is unable to deliver the goods ordered in the online store, the Seller has the right to terminate the Purchase-Sale Agreement after notifying the Buyer. The Seller may offer an equivalent product. If the Buyer declines, the Seller undertakes to refund the amount paid within 3 business days.

4.4. Where the Buyer exercises the right provided for in clause 5.2 of these Terms, the Seller undertakes to refund the amount paid by the Buyer within 5 (five) business days from the date of receipt of the returned goods.

4.5. The Seller may withhold the refund until the goods have been returned to the Seller or until the Buyer provides proof that the goods have been dispatched to the Seller, whichever occurs first.

5. Buyer's Rights

5.1. The Buyer has the right to purchase goods in the online store in accordance with these Terms.

5.2. The Buyer has the right to withdraw from the purchase-sale agreement concluded with the Seller by notifying the Seller in writing (by email at [email protected], stating the item to be returned and its order number) no later than 14 days from receipt of the goods.

5.3. The right referred to in clause 5.2 may only be exercised if the goods have not been damaged, the packaging has not been broken, the appearance of the goods has not substantially changed, and the goods have not been used.

6. Buyer's Obligations

6.1. The Buyer must pay for the goods purchased and accept them in the manner set out in these Terms.

6.2. If the Buyer, at the time of delivery, refuses to accept the goods without valid reason, the Buyer must, at the Seller's request, cover the cost of returning the goods.

6.3. At the time of delivery, the Buyer must inspect the condition of the parcel and the goods together with the Seller or the delivery person.

6.4. If the Buyer refuses to accept the goods at the time of delivery without valid reason, the Buyer must cover the delivery costs.

6.5. By using the online store, the Buyer confirms their agreement with these purchase-sale terms and conditions and undertakes to comply with them.

7. Prices

7.1. Prices in the online store are stated in euros including VAT. Upon confirmation of the order, a delivery charge is added to the total amount of goods, where applicable.

8. Ordering and Payment

8.1. The Buyer visits the online store, selects the desired goods, and adds them to the shopping basket. After completing the basket, the Buyer enters the personal details required to fulfil the order: first name, last name, delivery address, phone number, and any additional information relevant to delivery. The Buyer confirms that they have read these Terms and confirms the order.

8.3. Payment can be made via Swed, SEB, Luminor, Citadele, or Šiaulių Bankas internet banking services, as well as by Visa/MasterCard payment cards. Payments are accepted in euros. Payments are processed via the MakeCommerce.lt payment platform.

9. Delivery

9.1. When placing an order, the Buyer must provide an accurate delivery address.

9.2. The Buyer must accept the goods in person. If the Buyer cannot accept the goods in person but the goods are delivered to the address specified by the Buyer, the Buyer has no right to raise complaints about delivery to an unauthorised person.

9.3. The Seller delivers goods to the Buyer within the timeframes indicated in the product descriptions.

9.4. The characteristics of all products sold are stated in the description accompanying each product. The Seller is not responsible if the colour, shape, or other parameters of goods in the online store do not match the actual size, shape, or colour of the goods due to the characteristics of the Buyer's monitor.

9.5. Where the Buyer withdraws from the purchase-sale agreement in accordance with these Terms, the Buyer is responsible for all direct costs of delivering the goods to the Buyer and returning them to the Seller. The amount of these costs will be deducted from the refund due to the Buyer.

10. Returns

10.1. Good-quality goods may be returned within 14 days of receipt. Defects in defective goods sold shall be remedied, and defective goods exchanged or returned in accordance with the provisions of the Civil Code of the Republic of Lithuania.

10.2. The following conditions must be met when returning goods:

10.2.1. The returned item must be in its original undamaged packaging (this does not apply when returning a defective item);

10.2.2. The item must not have been damaged by the Buyer;

10.2.3. The item must be unused and must not have lost its marketable appearance: labels must be intact, protective film must not have been removed, etc. (this does not apply when returning a defective item);

10.2.4. The returned item must be in the same configuration as received by the Buyer;

10.2.5. The Seller has the right to refuse to accept returned goods if the return conditions have not been met;

10.2.6. Returns are processed in the manner specified by the Seller within 14 (fourteen) days of receipt of the goods (this does not apply if the item is defective – in that case, returns are processed within the statutory warranty period). The cost of return postage is borne by the Buyer;

10.3. Returns and exchanges of goods of satisfactory quality are governed by Article 6.22810(1) of the Civil Code;

10.4. Money paid for goods that were accepted by the Buyer but subsequently returned will be refunded to the Buyer's account no later than 5 (five) business days from the date the goods are returned to the Seller, unless the Seller and the Buyer agree otherwise.

11. Final Provisions

11.1. These Terms are drawn up in accordance with the laws of the Republic of Lithuania.

11.2. These Terms and the relationship between the Parties in respect of these Terms are governed by and interpreted in accordance with the laws of the Republic of Lithuania.

11.3. All disputes arising from the performance of these Terms shall be resolved through negotiation. If no agreement is reached, disputes shall be resolved in accordance with the procedure established by the laws of the Republic of Lithuania.

11.4. The Parties are relieved of their obligations under these Terms if they cannot be fulfilled due to unforeseen circumstances beyond the Parties' control (force majeure).
